Terms and Conditions

1. Scope

These Terms and Conditions ("Terms") govern the use of the Fodoni Network platform (hereinafter "Platform"), operated by Fodoni GmbH, Karl-Broel-Str. 13, 53604 Bad Honnef, Germany (hereinafter "Fodoni").

Fodoni Network is a B2B SaaS platform for the food and agricultural sector. Fodoni is neither a broker, intermediary, nor contractual party to agreements concluded between users.

By registering, the user accepts these Terms. Conflicting terms and conditions of the user do not apply.

2. Eligibility

The platform is directed exclusively at businesses within the meaning of § 14 BGB (German Civil Code).

Consumers within the meaning of § 13 BGB are excluded from using the platform. Accordingly, no right of withdrawal pursuant to §§ 355 et seq. BGB applies.

By registering, the user confirms that they are acting on behalf of a business.

3. Registration & Account

Use of the platform requires registration with company information.

Accounts may require verification before full functionality is granted. Fodoni reserves the right to reject verification without providing reasons.

The user is obliged to keep their access credentials confidential and not to share them with third parties.

Each company may register only one account (one company account per email domain).

4. Tickets, Add-ons & Subscription

The platform offers various license plans ("tickets") (currently: Eco, Business, First). The scope of features depends on the active ticket.

Individual features can be booked as add-ons to a ticket (e.g. the "Spot-Market" add-on, which unlocks spot-market workflows and views). In the Business ticket, the Spot-Market add-on is included automatically.

Paid subscriptions are billed monthly and can be cancelled monthly. Unless stated otherwise, add-ons are billed together with the related ticket and follow the same cancellation period.

Prices may be adjusted. Existing subscriptions are not affected by price changes until the end of the current billing period. Fodoni will notify of price changes at least 30 days in advance.

Payment processing for tickets and add-ons is handled via the payment providers shown on the platform (including Stripe). These payment methods apply only to fees owed to Fodoni and not to purchase price payments between users in tenders or spot-market transactions (see Section 8).

5. Service Description & Availability

Fodoni provides the platform as Software-as-a-Service (SaaS). Access is provided via the internet.

Individual features, in particular AI-supported search, may be in beta status. Beta features are marked with the label "Beta"; Fodoni does not provide any warranty for availability, completeness, or result accuracy of beta features.

Fodoni strives for high availability but does not guarantee a specific uptime percentage. Scheduled maintenance will be announced in advance where possible.

Fodoni reserves the right to develop, modify, or discontinue platform features, provided this is reasonable considering the interests of users.

6. User Obligations

The user agrees to:

  • Provide only truthful and accurate information, especially for company data and for quantity, origin, and price data in tenders and spot-market listings
  • Comply with applicable laws and regulations (in particular EU food safety regulations)
  • Not misuse the platform (see Acceptable Use Policy at /acceptable-use)
  • Not perform automated access (bots, scraping) without written permission
  • Immediately inform Fodoni of any known security incidents or unauthorized access

7. Tenders

In the "Tenders" area, users can publish sourcing requests (e.g. for raw materials, packaging, machines, or services), including quantity, destination country, and deadline. Other users may submit offers in response.

Fodoni only provides the technical infrastructure for this process. Fodoni does not verify plausibility or feasibility of tenders or offers and is not a contractual party to business transactions initiated this way. Negotiation, contract conclusion, delivery, and payment are solely between the participating users.

Users can withdraw a published tender at any time.

8. Spot-Market

In the "Spot-Market" area, verified users can publish listings for short-term direct procurement (including price, quantity, and availability details) and contact suppliers via the "Request" function.

Spot-Market is included in the Business ticket or can be booked via the corresponding add-on (see Section 4).

Fodoni is not a contractual party to purchase contracts initiated or concluded via Spot-Market and does not handle payment processing, delivery, quality assurance, or any other fulfillment duties in connection with those contracts. Payment methods stored on the platform are solely for settling ticket and add-on fees owed to Fodoni (Section 4).

The label "Verified Company" only confirms that account verification according to Section 3 has been completed; it is not a statement about creditworthiness, delivery capability, or product quality.

9. Content & Listings

The user is responsible for all content they submit, including tenders, spot-market listings, company profiles, messages, and documents.

Fodoni does not pre-screen content but reserves the right to remove content that violates laws or policies.

The user grants Fodoni a non-exclusive right to use submitted content to the extent necessary for platform operation (display, indexing, technical processing, including processing in AI-powered search and matching functions).

10. Liability

Fodoni is liable:

  • Without limitation in cases of intent and gross negligence
  • For slight negligence only in the event of breach of material contractual obligations (cardinal obligations), limited to foreseeable, typically occurring damages
  • Not for the economic success of transactions between users, including those initiated via tenders or Spot-Market
  • Not for the accuracy of user content, including tender and spot-market data as well as results from AI-powered features
  • Not for agreements concluded between users

The above limitations of liability do not apply to damages arising from injury to life, body, or health, or to liability under the German Product Liability Act.

11. Contract Term & Termination

The contract term follows the selected ticket and booked add-ons:

  • Termination by the user: At any time effective at the end of the current billing period, via the customer portal or by email to info@fodoni.com
  • Extraordinary termination by Fodoni: In case of serious or repeated violations of these Terms or the usage policies
  • After termination: The account is deactivated; active tenders and spot-market listings are deactivated. Data is retained in accordance with the Privacy Policy and deleted after retention periods expire.

12. Data Protection

13. Changes to Terms

Fodoni may amend these Terms with 30 days' prior notice. Changes will be communicated by email.

If the user does not object within 30 days of receiving the change notification, the amended Terms are deemed accepted. The change notification will reference this right of objection and its legal consequences.

14. Governing Law & Jurisdiction

The laws of the Federal Republic of Germany apply, excluding the UN Convention on Contracts for the International Sale of Goods.

The exclusive place of jurisdiction for all disputes arising from or in connection with these Terms is Bad Honnef, provided the user is a merchant, legal entity under public law, or a special fund under public law.

15. Severability

Should individual provisions of these Terms be or become invalid, the validity of the remaining provisions shall remain unaffected. The invalid provision shall be replaced by a valid provision that most closely reflects the economic purpose of the invalid provision.
