License Terms

1. Subject Matter

These License Terms govern the scope of usage rights granted by Fodoni GmbH (hereinafter "Fodoni") to the user for the Fodoni Network platform.

These License Terms supplement the Terms and Conditions. In case of conflict between these License Terms and the Terms and Conditions, these License Terms shall prevail.

2. License Grant

Fodoni grants the user a simple (non-exclusive), non-transferable right to use the platform within the scope of the selected license plan, limited to the contract term.

The license permits use by the user and employees assigned to their company account.

Sub-licensing, transfer, or rental of access rights to third parties is not permitted.

3. License Plans

Fodoni Network currently offers the following license plans:

• Eco (free)
  Basic features: account, company profile, limited listing visibility, and basic functionality.
• Business
  Extended features: full listing and response capabilities, advanced messaging, priority support.
• First
  Premium features: individually negotiated feature scope with dedicated terms. Contract conditions are agreed individually.

The exact feature scope per plan is described on the pricing page and in the platform documentation. Fodoni reserves the right to further develop plan feature scopes.

4. Trial Period

New users receive a free trial period of 30 days with access to extended features.

After the trial period expires, the feature scope is reduced to the selected (possibly free) plan unless a paid subscription is activated.

Fodoni reserves the right to limit trial periods in time and scope or to change availability.

5. Usage Restrictions

The user may not:

• Decompile, disassemble, or otherwise reverse engineer the platform
• Circumvent technical protection measures or access restrictions
• Use automated access tools (bots, scrapers) without prior written permission
• Transfer, sell, or rent access rights to third parties
• Use the platform to develop a competing product
• Use the platform in a manner that impairs platform stability or other users

6. Intellectual Property

All rights to the platform (software, design, trademarks, documentation) remain with Fodoni.

The license does not establish ownership of the platform or its components.

User content (listings, messages, documents) remains the property of the respective user. The user grants Fodoni a simple usage right to the extent necessary for platform operation.

7. License Termination

The license terminates automatically upon termination of the usage agreement (cancellation, account deletion).

In case of serious license violations, Fodoni may revoke the license with immediate effect.

After license termination, all usage rights expire. The user has no claim to further platform use.

8. Availability & Support

Fodoni aims for platform availability of at least 99% on a monthly average (excluding planned maintenance windows).

Support services depend on the respective license plan. Business and First customers receive prioritized support.

Fodoni does not guarantee specific response times unless otherwise agreed in an individual First agreement.

9. Governing Law

German law applies to these License Terms. The place of jurisdiction is Bad Honnef, to the extent permitted by law.
